General Terms and Conditions of Sale

These terms apply to every quote, order and delivery of FRAMPAL SRL. Last updated: 1 October 2026.

1. Scope

These terms apply to all quotes, orders and deliveries between FRAMPAL SRL (BV), Avenue des Amériques 45, 7080 Frameries, Belgium, enterprise number and VAT BE 0461.559.652 ("FRAMPAL"), and its business customers ("the Customer"). They cover new, used, reconditioned, heat-treated, plastic and custom pallets.

The Customer's own terms and conditions do not apply unless FRAMPAL accepts them in writing.

2. Quotes

Quotes are free of charge and valid for 30 days unless stated otherwise. Prices are in euros, excluding VAT. Transport is included only when the quote says so.

3. Orders and minimum order

The minimum order is 100 pallets; different pallet types may be combined. An order becomes binding once the Customer has accepted the quote and the sales contract (order confirmation) has been confirmed in writing by both parties. Email is sufficient.

The Customer is responsible for the accuracy of the quantities, specifications and delivery details it provides.

Custom pallets cannot be cancelled once production has started. Other cancellations require FRAMPAL's written agreement and may be charged at up to 20% of the order value.

4. Payment before shipment

  • After the sales contract is confirmed, FRAMPAL sends an invoice for the order.
  • The invoice is payable within 14 days of the invoice date, without discount, to the bank account stated on the invoice.
  • Goods are shipped or made available for collection only after full payment has been received.
  • The agreed lead time starts on the day payment is received.

If payment is not received within 14 days, FRAMPAL may postpone the delivery or cancel the order. Overdue amounts bear interest at the rate set by the Belgian Act of 2 August 2002 on late payment in commercial transactions, plus the fixed compensation of €40 for recovery costs provided by that Act. Other payment terms apply only if agreed in writing.

5. Specifications and grades

Pallets are supplied to the specification in the sales contract, for example EPAL, a used grade (A, B or C) or a custom drawing. Used and reconditioned pallets are sold as graded and may show normal signs of previous use. Heat treatment and ISPM 15 marking apply only to pallets ordered as heat-treated.

6. Delivery

Delivery is either Ex Works (EXW) at Frameries or Delivered at Place (DAP) at the agreed address, as stated in the sales contract. FRAMPAL delivers across Europe, including the United Kingdom, and worldwide on request.

For deliveries outside the European Union, customs formalities, import duties and local taxes are the Customer's responsibility unless agreed otherwise. Delivery dates are estimates unless a fixed date is agreed in writing. Risk passes to the Customer on delivery.

The Customer provides suitable access and unloading equipment. Waiting time or a failed delivery caused by the Customer may be charged.

7. Inspection and complaints

  • Visible defects or missing quantities must be noted on the delivery note and confirmed in writing within 48 hours of delivery.
  • Hidden defects must be reported in writing within 8 days of discovery and no later than 6 months after delivery.

If a complaint is justified, FRAMPAL will, at its choice, replace the goods, issue a credit note or refund them. Damage caused by improper use, storage, overloading or handling is not covered.

8. EPAL exchange

Where an exchange is agreed, EPAL pallets are exchanged one for one only if they are exchangeable under the EPAL exchange rules. Pallets that are not exchangeable or are missing are invoiced at the agreed price.

9. Retention of title

Goods remain the property of FRAMPAL until they have been paid in full.

10. Liability

FRAMPAL's liability is limited to the invoice value of the goods concerned. FRAMPAL is not liable for indirect damage such as loss of profit, production downtime or damage to transported goods, except in case of fraud or intentional fault.

11. Force majeure

FRAMPAL is not liable for delays or failures caused by events beyond its reasonable control, such as extreme weather, strikes, transport disruption, raw material shortages or government measures. If such an event lasts more than 60 days, either party may cancel the undelivered part of the order without compensation; payments for undelivered goods are refunded.

12. Personal data

FRAMPAL processes personal data only to handle quotes, orders and deliveries, in line with the GDPR. See our Privacy Policy.

13. Applicable law, courts and language

These terms are governed by Belgian law. Disputes fall under the exclusive jurisdiction of the courts of Mons (Hainaut), Belgium.

These terms are published in English, French, Dutch and German. In case of a difference in interpretation, the English version prevails.
